These Terms of Use ("Terms") govern your use of the website at www.evernia.build (the "Site"), operated by Evernia Construction Services LLC ("Evernia," "we," "us"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
1. Informational purposes only
The Site and its content, including text, photographs, project descriptions, and examples, are provided for general informational purposes only. Nothing on the Site is engineering, surveying, legal, safety, or other professional advice, and nothing on the Site is intended to be relied on for the design, construction, permitting, or operation of any project. You should consult qualified, appropriately licensed professionals about your specific situation.
2. No business relationship from use of the Site
Using the Site, submitting the contact form, or emailing us does not create a client, contractor, consulting, or other business relationship with Evernia. Evernia provides services only under a separate written agreement signed by Evernia, and the terms of that agreement will control over anything on the Site. Any proposal, estimate, sample, or preliminary work product we share before a signed agreement is provided for discussion only, without warranty, and may not be relied on.
3. Information you send us
Please do not send confidential or proprietary information through the Site or by unsolicited email. Unless we have a signed confidentiality agreement with you, information you send us is not treated as confidential, and sending it does not create any confidentiality obligation. Our handling of personal information is described in our Privacy Policy.
4. Ownership of Site content
The Site and its content, including the Evernia name, logo, text, graphics, and photographs, are owned by Evernia or its licensors and are protected by copyright, trademark, and other laws. You may view and print pages of the Site for your own internal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from Site content, or use the Evernia name or logo, without our prior written permission.
5. Acceptable use
You agree not to use the Site to violate any law; submit false, misleading, or harassing communications; send spam or unsolicited advertising; upload viruses or other harmful code; attempt to gain unauthorized access to the Site or its systems; or scrape, copy, or collect Site content or data by automated means.
6. Links to other websites
The Site may contain links to third-party websites. We provide those links for convenience only, do not control or endorse those sites, and are not responsible for their content, products, services, or practices.
7. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Project descriptions and photographs are illustrative and may not reflect the scope of Evernia's role on any particular project.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EVERNIA AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF, OR RELIANCE ON, THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). This section does not limit liability under any separate signed services agreement, which will be governed by its own terms.
9. Indemnification
You agree to indemnify and hold harmless Evernia and its members, managers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorney's fees, arising out of your misuse of the Site or your violation of these Terms.
10. Governing law and venue
These Terms are governed by the laws of the State of Alaska, without regard to its conflict-of-laws rules. Any dispute arising out of or related to the Site or these Terms will be brought exclusively in the state courts of Alaska located in the Third Judicial District [at Kenai] or the United States District Court for the District of Alaska, and you consent to the jurisdiction of those courts.
11. Changes to these Terms
We may update these Terms from time to time by posting the updated version on this page with a new effective date. Your continued use of the Site after a change is posted means you accept the updated Terms.
12. General
These Terms and our Privacy Policy are the entire agreement between you and Evernia regarding the Site. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver. We may suspend or discontinue the Site at any time without notice.
